Website and production-services terms for FR Creative Group LLC.

Last updated: September 2, 2026

These Terms and Conditions (“Terms”) govern the website and production services provided by FR Creative Group LLC, doing business publicly as FR and Frame Reality, and also known as FR Media (“FR,” “Company,” “we,” “us,” or “our”). FR is a Washington, DC video-production company serving Washington, DC, Maryland, Virginia, and travel by arrangement.

“Client” means the person or organization purchasing, booking, or receiving Services. “Company Parties” means FR Creative Group LLC and its owners, officers, directors, employees, crew members, contractors, agents, affiliates, and vendors.

1. Acceptance of Terms

These Terms become part of a Client’s agreement with FR when the Client signs or electronically accepts a proposal, estimate, statement of work, booking form, production agreement, or change order referencing these Terms; checks a box confirming agreement; pays a booking payment after receiving notice of these Terms; or instructs FR to begin Services after receiving a copy or clearly visible link to these Terms.

Anyone accepting these Terms for an organization represents that they have authority to bind that organization. A signed proposal, statement of work, booking form, production agreement, or change order is a “Project Agreement.” If a Project Agreement conflicts with these Terms, the Project Agreement controls for that Project.

2. Services and Project Scope

FR provides documentary, event-media, livestream, interview, creative, technical, consulting, editing, post-production, archival-delivery, and related services described in the applicable Project Agreement (“Services”).

Only items expressly identified as deliverables are included. Additional filming, photography, editing, revisions, travel, equipment, personnel, permits, licensing, storage, expedited work, accessibility preparation, or other out-of-scope work may require additional fees and a written change order.

Estimates are based on information available when prepared. Unless expressly identified as a fixed price, an estimate is not a guarantee of the final cost.

3. Booking and Payment

A production date is not reserved until FR receives all required signed documents and booking payments. Fees, payment dates, taxes, reimbursable expenses, and any legally permitted late charges will be stated in the Project Agreement. FR may suspend Services or withhold deliverables for overdue amounts after providing reasonable notice.

A payment expressly identified in the Project Agreement as a “reservation fee” compensates FR for reserving production capacity, declining other work, scheduling personnel, and beginning pre-production. It will be applied toward the Project price and will be refundable only as stated in the Project Agreement or as required by law.

The Client remains responsible for approved expenses and noncancelable commitments made for the Project. Nothing in these Terms restricts a Client’s lawful right to dispute an incorrect charge.

4. Cancellation and Rescheduling

Cancellation and rescheduling fees will be governed by the Project Agreement. If no schedule is stated, the Client will pay for Services performed through the cancellation date, approved or reasonably incurred nonrecoverable expenses, noncancelable crew, equipment, venue, travel, and vendor commitments, and any reservation fee permitted by law.

Rescheduled dates depend on crew, equipment, and venue availability. A material change to the date, location, duration, creative direction, or scope may require revised pricing.

If FR cancels without Client breach and cannot provide a reasonable replacement date, FR will refund fees paid for Services not performed, without limiting any nonwaivable legal rights.

5. Client Responsibilities

The Client will:

  • Provide accurate instructions, schedules, specifications, brand requirements, and contact information;
  • Designate an authorized representative whose approvals and instructions FR may rely upon;
  • Provide timely feedback, decisions, access, and materials;
  • Obtain permissions for locations, trademarks, music, artwork, scripts, products, and other Client-supplied materials;
  • Obtain appearance or participation consent from people supplied or invited by the Client, unless the Project Agreement assigns that responsibility to FR;
  • Disclose known hazards, restrictions, accessibility concerns, security rules, and special location conditions;
  • Ensure that its personnel, guests, and vendors follow reasonable safety instructions; and
  • Refrain from directing a Company Party to violate a law, permit, safety rule, union obligation, platform policy, or third-party right.

Client delays or failures may extend deadlines and increase costs.

6. Production Safety

Production environments may involve cables, lighting, stands, electrical equipment, sound levels, vehicles, props, crowds, temporary structures, weather, and other inherent conditions.

FR may pause or stop work, remove a person from a controlled production area, or decline an instruction when it reasonably believes conditions are unsafe, unlawful, abusive, or likely to damage property or equipment. Safety-related delays caused by conditions outside FR’s reasonable control do not constitute breach.

Each party is responsible for the conduct and safety obligations of personnel under its supervision. The Client may not supervise FR employees as though they were the Client’s employees. This section provides notice of production conditions and does not waive liability for personal injury, death, or property damage where such a waiver is prohibited by law.

7. Minors

No minor may participate without written authorization from a parent or legal guardian and compliance with applicable permit, work-hour, education, and compensation requirements. Parental consent to participation or appearance does not waive a minor’s legal rights where applicable law prohibits such a waiver.

8. Creative Judgment, Revisions, and Approval

The Client acknowledges that creative Services involve professional and subjective judgment. References, mood boards, samples, treatments, and prior work communicate general direction but do not guarantee an identical result.

The number and type of included revisions will be stated in the Project Agreement. Additional revisions, changes after approval, or changes caused by inaccurate Client instructions may be billed separately.

Unless the Project Agreement provides otherwise, the Client must review deliverables and identify reasonably apparent errors within seven business days after delivery. The Client should report latent file corruption or technical defects promptly after discovery. Failure to respond may be treated as approval for scheduling and production purposes but does not eliminate rights that cannot legally be waived.

FR does not guarantee sales, audience growth, engagement, awards, distribution, platform approval, advertising approval, or any other business result.

9. Raw Media, Project Files, and Storage

Unless expressly included in the Project Agreement, raw footage, unused photographs, source files, project files, editing timelines, working files, drafts, and production notes are not deliverables.

FR may delete project materials 90 days after final delivery or Project termination. Long-term storage or retrieval is not guaranteed unless purchased separately. After delivery, the Client is responsible for downloading, verifying, and backing up its deliverables.

10. Intellectual Property

The Client retains ownership of materials it provides and grants FR a limited license to copy, edit, display, transmit, and otherwise use those materials as reasonably necessary to perform the Services.

FR retains ownership of its preexisting and reusable materials, including production methods, templates, workflows, know-how, software, presets, graphics systems, equipment configurations, concepts not selected by the Client, and other tools developed independently of the Project (“Company Materials”).

Ownership or licensing of final deliverables will be stated in the Project Agreement. If the Project Agreement is silent, then after full payment FR grants the Client a perpetual, worldwide, nonexclusive license to use the approved final deliverables for the Client’s stated business or personal purpose. No ownership of Company Materials, raw media, or third-party materials transfers unless expressly stated.

Third-party music, fonts, stock media, software, locations, talent, and other licensed materials remain subject to their respective license terms. FR may use the Client’s name, logo, likeness, or deliverables in portfolios, award submissions, or marketing only when authorized in the Project Agreement or by separate written consent.

Generative artificial-intelligence tools will not be used with confidential or unreleased Client materials except as authorized in the Project Agreement. When such tools are authorized, the Client understands that exclusivity and copyright protection may be limited.

11. Confidentiality

Each party will protect nonpublic business, creative, financial, technical, and personal information received from the other and use it only for the Project. This obligation does not apply to information that is public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law. A separate nondisclosure agreement controls if it conflicts with this section.

12. Third-Party Providers and Events

FR may use qualified crew members, independent contractors, rental houses, laboratories, platforms, venues, transportation providers, and other vendors. FR is not responsible for a third party’s independent acts, outages, restrictions, cancellations, or failures outside FR’s reasonable control. This provision does not excuse FR from responsibilities expressly undertaken in the Project Agreement or liabilities that cannot legally be excluded.

13. Insurance

Each party will maintain insurance required by law and reasonably appropriate for its responsibilities. For commercial productions, the Project Agreement may require the Client to maintain general liability, event, automobile, property, or other coverage and to provide certificates of insurance or additional-insured status. FR may require vendors and independent contractors to provide proof of legally required coverage.

14. Business-Client Indemnification

This section applies when the Client is obtaining Services primarily for business or commercial purposes.

The Client will defend, indemnify, and hold the Company Parties harmless from third-party claims, damages, judgments, penalties, and reasonable legal expenses to the extent arising from:

  • Client-provided materials or instructions that infringe intellectual-property, privacy, publicity, or other rights;
  • The Client’s breach of these Terms or a Project Agreement;
  • Unsafe conditions under the Client’s control;
  • The Client’s failure to obtain an assigned permit, location permission, or participant authorization; or
  • Negligent, reckless, unlawful, or intentional conduct by the Client or its personnel.

This obligation does not apply to the extent a claim was caused by a Company Party’s negligence, gross negligence, reckless conduct, willful misconduct, or breach. An individual purchasing Services primarily for personal, family, or household purposes has no duty to defend or indemnify FR under this section unless that obligation is separately negotiated and permitted by law.

15. Warranties and Disclaimers

FR will perform Services in a professional manner consistent with the applicable Project Agreement. Except for that express promise and warranties that cannot legally be excluded, FR disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. Website information and preliminary creative materials are provided for general informational purposes and may contain errors or become outdated.

16. Limitation of Liability

To the fullest extent permitted by law:

  1. No Company Party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost opportunities, loss of data, reputational loss, or replacement-production costs arising from a Project or these Terms.
  2. The combined liability of all Company Parties arising from a particular Project will not exceed the fees actually paid to FR for that Project.
  3. Contractual obligations are obligations of FR Creative Group LLC alone. The Client agrees not to pursue FR’s owners, officers, directors, employees, crew members, or agents personally for a breach of contract by FR Creative Group LLC.

These limitations do not exclude or limit liability for death, personal injury, or tangible property damage caused by negligence when applicable law prohibits that limitation; gross negligence, reckless conduct, willful misconduct, or fraud; a party’s payment obligations; rights or remedies that consumer law makes nonwaivable; or any other liability that cannot legally be excluded or limited.

The parties agree that the pricing reflects this reasonable allocation of risk. Company Parties are intended beneficiaries of this section.

17. Events Beyond Reasonable Control

Neither party is liable for delay or nonperformance caused by circumstances beyond its reasonable control, including severe weather, natural disaster, fire, epidemic, governmental action, permit denial, utility or platform outage, transportation interruption, venue closure, civil disturbance, labor disruption, equipment failure despite reasonable maintenance, or the unexpected illness or injury of essential personnel.

The affected party will provide prompt notice and use reasonable efforts to reschedule or reduce the disruption. If performance becomes impracticable, either party may terminate the affected portion of the Project. The Client will pay for completed work and nonrecoverable authorized commitments, and FR will refund any remaining unearned balance.

18. Disputes and Governing Law

Before filing a lawsuit, the parties will give written notice describing the dispute and attempt in good faith to resolve it for at least 30 days. Either party may seek urgent injunctive relief when reasonably necessary to protect safety, confidential information, or intellectual property.

These Terms and each Project Agreement are governed by the laws of the District of Columbia, without regard to conflict-of-law principles. Subject to any nonwaivable consumer right, the state and federal courts located in the District of Columbia will have exclusive jurisdiction. Nothing prevents an eligible claim from being brought in small-claims court.

Mandatory protections under the laws of Maryland, Virginia, or another applicable jurisdiction remain effective when they cannot lawfully be waived. These Terms do not shorten any statutory deadline for bringing a claim.

19. Website Use

The FR website presents information about documentary, event-media, interview, livestream, and production services. Website content is general information and does not by itself create a client relationship, production commitment, quote, or guarantee.

Portfolio records labeled “Concept Study” are fictional planning examples. They do not represent real clients, commissioned projects, verified results, testimonials, endorsements, or completed productions.

Website content, branding, graphics, photographs, video, text, and design are owned by or licensed to FR and may not be copied, republished, sold, or commercially exploited without permission. Users may not interfere with website security, introduce malicious code, impersonate another person, collect personal information unlawfully, or use the website to violate applicable law or third-party rights.

Third-party links are provided for convenience. FR does not control or endorse a third-party website merely by linking to it. Nothing in these Terms restricts a consumer’s right to provide an honest review or report suspected unlawful conduct.

20. General Provisions

FR is an independent contractor. Nothing creates a partnership, joint venture, fiduciary relationship, or employment relationship between the Client and a Company Party. FR may subcontract portions of the Services while remaining responsible for obligations expressly assigned to it.

The Client may not transfer a Project Agreement without FR’s written consent, except as part of a lawful merger or sale of substantially all relevant business assets. FR may assign the agreement to a successor that assumes its obligations.

If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent or severed, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only.

The Project Agreement, these Terms, incorporated policies, and signed change orders constitute the complete agreement concerning the Project and replace prior discussions about the same subject.

Changes to these Terms apply prospectively when posted with a revised date. A material change will not alter an existing Project unless the Client affirmatively agrees to it. Electronic signatures and records may be used, and electronic copies will be treated as originals.

Sections concerning payment, intellectual property, confidentiality, indemnification, liability, disputes, and any provisions that logically should survive will remain effective after completion or termination.
